If your organization has an executed MSA or BAA with us, those agreements supersede these Legal Terms in case of conflict.

The Services are intended for professional users in healthcare who are at least 18 years old.

1. Our Services
Use of the Services may be restricted in jurisdictions where such use is unlawful. Users accessing from other locations are responsible for compliance with local laws.
2. HIPAA Compliance and PHI
PHI may only be entered or processed if your organization has an active BAA with Nurasight, Co. Without a BAA, uploading PHI is prohibited.
All PHI handling is governed by the applicable BAA.
3. Intellectual Property Rights
Our IP
We own or license all:
- Source code
- Databases
- Software
- Website designs
- Audio, video, text, graphics
- Trademarks and service marks
You are granted a non-exclusive, non-transferable, revocable license to access the Services and download permitted content for internal business use.
Unauthorized reproduction, distribution, or exploitation is prohibited.
Feedback
Any submissions (ideas, suggestions, feedback) become our property without compensation.
4. User Representations
By using the Services, you represent that:
- Registration information is accurate
- You have authority to bind your organization
- You will not use automated means to access the Services
- You will comply with all laws, including healthcare regulations
5. User Registration
You must keep your password confidential. We may modify or remove usernames at our discretion.
6. Purchases and Payment
We accept major credit cards and PayPal. ACH may be available via MSA.
You agree to:
- Provide accurate billing information
- Pay all charges
- Allow recurring charges for subscriptions
7. Subscriptions
Billing & Renewal
Subscriptions auto-renew unless canceled.
Cancellation
Non-refundable unless stated in an MSA. Cancellation takes effect at the end of the current term.
Fee Changes
We may adjust subscription fees with appropriate notice.
8. Prohibited Activities
Users may not:
- Scrape or extract data
- Circumvent security
- Upload malware
- Impersonate others
- Reverse engineer the software
- Compete with MediCipher using the Services
- Violate laws or regulations
9. Mobile Application License
You are granted a limited license to install and use the App. Reverse engineering, modification, or competitive use is prohibited.
10. Third-Party Websites and Content
We are not responsible for third-party websites or content linked within the Services.
11. Services Management
We may:
- Monitor for violations
- Take legal action
- Remove excessive or harmful content
- Manage the Services to ensure proper functioning
12. Privacy Policy
Your use of the Services is governed by our Privacy Policy:

The Services are provided as-is without warranties of any kind.
20. Limitations of Liability
Our liability is limited to the amount paid by you in the six months preceding the claim.

You agree to indemnify us against claims arising from:

- Your breach of these Legal Terms
- Your violation of third-party rights
- HIPAA violations due to lack of a BAA
22. User Data
We maintain certain data for performance purposes. You are responsible for data governance prior to transmission.

These Legal Terms, along with your MSA/BAA, constitute the full agreement.
